PROCAPS LP AND ACCUCAPS INDUSTRIES LIMITED
ANNOUNCE
MERGER OF PAINTBALL DISTRIBUTION BUSINESSES

For Immediate Release: April 2, 2008

Montreal, Quebec, -- Procaps LP the world’s premier manufacturer and distributor of paintballs and paintball related products and Accucaps Industries Limited one of the largest full-service soft gel capsule contract manufacturers in North America are pleased to announce the merger of their paintball manufacturing and distribution businesses effective April 1, 2008. Archon Incorporated and ZAP Paintball, wholly owned businesses of Accucaps will transition into the Procaps organization to create the world’s premier manufacturer and distributor of premium branded paintball products. Paintball production will be consolidated in the Procaps Montreal Facility.

Mike Peverill, President of Procaps Direct Inc. stated “As part of this agreement, Procaps will directly manage the paintball distribution organization and create one integrated supply chain that will create a valuable partnership with our dealers and distributors.”

“The merger of these two successful organizations is a testament to our commitment to develop the paintball market and create the #1 Paintball Company in the world. Our goal is to be a global partner helping our dealers become more profitable and providing their customers with a complete line of carefully chosen, high-quality branded paintball products.” said Xristos Silaidis, President & CEO of Archon Inc. / ZAP Paintball.

Procaps will provide Field Operators and Dealers with the world’s most recognized and most innovative branded paintball products in the industry. Our product portfolio includes our proprietary DXS ™ /Draxxus ™ paintballs, V Force ™ Vision Systems ™ and DXS ™ Air Systems in addition to a careful selection of the TOP market leading brands: Tippmann Sport ™, Planet Eclipse ™, NXE ™, Tiberius ™ and many other well known paintball brands.

The combined organization will also continue to provide key sponsorship support to the industry, through team and league sponsorship, scenario events sponsorship and other activities.

As part of this announcement, American Paintball Supply Inc., based in Queensbury New York, will enter into a strategic partnership with Procaps. American Paintball Supply will expand their existing product mix to include the DXS and V-Force brands as well as many other new brands.

We shall see how "excellent" this merger is. I would not hold my breath that pb prices will go down with this merger.

I like Procaps products, but although this may increase their distribution capability, moreso it reduces the competition for the same product.

Interesting acquisition.

Well if kee would have bought them it would have been the walmart deal I'm the biggest nobody has my buying power now you will pay what i want because there is no competition. And with this soft market it will be interesting to say the least.

It's also be interesting to see where this leaves Tacamo, Doug Brown
and his group, seeing as they were the ones who were most interested
in seeing MIL-SIM got a bigger share of the corporate HQ attention than
speed-ball.

Anyone who thinks mergers, including this one are going to lead to price
drops is only fooling themselves. Bigger share of the market yes, but
more debts to repay as well.

The future of Tacamo is also my concern. Doug's too good an allie in the corporate world for scenario and MilSim.
